By becoming enrolled in the Incentive Logic Points Program you accept the following guidelines:

Acknowledgement and Acceptance of Incentive Logic Points Guidelines

The Incentive Logic Points Program ("Incentive Logic Points" or the "Program"), owned and operated by Incentive Logic is provided to you ("you" or "user") under the terms and conditions of this Incentive Logic Points Guidelines document and all amendments, operating rules, or policies herein. Incentive Logic reserves the right to update and change the Guidelines at any time, with or without notice to you. User understands that the most recent version of the Guidelines will be located on the Incentive Logic website. Failure to adhere to these Guidelines, or any other terms or conditions presented at the time of merchandise selection, may result in the termination of your Incentive Logic Account, and the forfeiture and relinquishment of all points you have accrued in the program.

Description of the Program

The Incentive Logic Points Program, working in conjunction with a specified Points Sponsor Company ( "Sponsor"), allows for the registered user to accumulate points through activities determined by the Sponsor. Points accumulated in the Program are non- transferable to other users or accounts and have no cash or monetary value unless explicitly stated otherwise by the Sponsor.

Reservation of Rights

The Incentive Logic Points Program and all benefits entailed are offered at the discretion of Incentive Logic, and Incentive Logic has the right to modify or discontinue, temporarily or permanently, the Program, including the point levels, in part or in their entirety for any reason, at the sole discretion of the Sponsor, with or without user notice. Among other things, Incentive Logic may withdraw, limit, modify or cancel any redeemable merchandise; increase the points required for any unspecified gift; modify or regulate the transferability of merchandise or other benefits as stipulated by the Sponsor. You agree that Incentive Logic will not be liable to you or any third-party for any modification or discontinuance of the Program. Although every effort has been made to ensure that the information in this document is accurate, we are not responsible for typographical errors or emissions.

User Account, Password, and Security

Upon completion of the necessary requirements as specified by the Sponsor for Incentive Logic Points, the user will be automatically registered, instantly receiving a user name and password for the Points website via email. In addition to the Guidelines, your use of Incentive Logic Points is subject to any previous agreements that exist with the Sponsor. The user is responsible for maintaining the confidentiality of the username and password issued, and for any and all activities that occur under said username and password. If your Incentive Logic Points account is terminated by yourself or by Incentive Logic, for whatever reason, all accumulated points will be forfeited. You agree to immediately notify Incentive Logic of any unauthorized use of your account or any other breach of security known to you.

Incentive Logic Points Registration

In consideration of your use of the Program, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Incentive Logic Points Program Registration form, and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Incentive Logic has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Incentive Logic has the right to terminate your account and refuse any and all current or future access to, or use of the Points Program. Each Incentive Logic Points account is limited to one individual user, and each user is limited to one email address. Participation in the Incentive Logic Points Program is subject to all applicable ordinances, statutes, and laws. You can review your accumulated points, review the Guidelines as periodically amended, and review redemption options at points.incentivelogic.com.

Privacy Policy

The user acknowledges and agrees that Incentive Logic will disclose certain personal information provided by the user as part of the Registration Process to third parties as needed for the delivery of merchandise redeemed with points, to the location specified by the user. Such third parties will strictly adhere to the Incentive Logic privacy statement, agreeing to maintain the confidentiality and protection of your personal information at all times during and after providing service. All Registration Data and other information about the user are subject to our Privacy Policy.

Point Accumulation

Points are accumulated by the successful completion of requirements specified by Sponsor, which may include, but is not limited to: completing surveys, membership signup, referring other users and making purchases. The amount of compensation allocated in points to the user at the Incentive Logic Points site is solely at the discretion of the Sponsor. Incentive Logic expressly reserves the right to establish additional means of accruing points, to delete any or all of the means currently in effect, or to exclude specific types of transactions from the accumulation of points. Points can be accrued only for activity actually taken and completed by you, and can only be applied to your account. Points posted to your account for transactions that are subsequently voided will reduce the points accrued in your account by the number of points earned for the underlying transaction. Incentive Logic will use reasonable efforts to allocate earned points to each users' account. However, you are responsible for ensuring that your points are properly credited. If you believe that points have been earned but not credited, or in cases where Incentive Logic deems verification is required, Incentive Logic will only act as a facilitator between you and the Sponsor. The final decision regarding point balance disputes is up to the Sponsor and is subject to any guidelines or requirements that they have set forth. Points will be maintained in your account until they are redeemed for merchandise or until they expire or are forfeited whichever occurs first. The Sponsor is responsible for determining the expiration date on points.

Non-Transferability

All points are non-transferable and void if transferred. Points have absolutely no cash or monetary value. In the event of a users death, the user's account will be immediately terminated. Points and or redeemed merchandise are not to be bartered or sold. Incentive Logic Points Program accounts are not transferable upon death, or as part of a domestic relations matter or otherwise by operation of law. If a differing position on transferability is set forth by the Sponsor, those guidelines will supercede the ones stated in this agreement.

Merchandise

Points are redeemable for merchandise, provided that your Incentive Logic Points account is in good standing. Merchandise is selected from a Incentive Logic Folio. The value of the Folio cannot exceed that of the amount of points currently accrued. Making a selection from a Folio of a lesser value is permitted, and any unused points will remain in the user's Incentive Logic Points Account for future use. Points will be immediately subtracted from the user's account upon merchandise selection. Points earned in two or more different Incentive Logic accounts may not be combined for the redemption of any merchandise. Some merchandise has limited availability and all items are subject to availability and other terms and conditions as stated at www.incentivelogic.com. Merchandise can only be shipped to locations within the continental United States. Neither redeemed prizes nor unredeemed points are transferable for cash.

Fraud

Incentive Logic shall be the sole determiner in cases of suspected abuse, fraud, or violation of its rules and any decision made shall be final and binding. Fraud or abuse relating to the accrual of points or redemption of merchandise may result in forfeiture of accrued points as well as the termination of your Incentive Logic Points account. You are solely responsible for any fraudulent use of your points due to the theft or the sharing of your password. Incentive Logic Points is a service provided to an individual Incentive Logic user, not a company.

IT IS CONSIDERED FRADULENT AND ABUSIVE FOR ANY INDIVIDUAL OR COMPANY TO DIRECT, ENCOURAGE, OR ALLOW INDIVIDUALS TO USE A SINGLE INCENTIVE LOGIC ACCOUNT FOR THE PURPOSE OF ACCUMULATING POINTS FOR COMPANY USE.

Disclaimer of Warranties

ALL MATERIALS, INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THIS SITE (THE "CONTENT") ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE. THE CONTENT IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. UNDER NO CIRCUMSTANCES SHALL INCENTIVE LOGIC BE LIABLE TO YOU OR ANY THIRD PARTY FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (EVEN IF THAT PARTY HAS BEEN ADVISED OF THE POSSIBLILITY OF SUCH DAMAGES), ARISING FROM THE USE OF OR INABILITY TO USE THE SERVICE OR ANY OTHER PROVISION OF THE Guidelines. You accept all responsibility for, and hereby indemnify and hold harmless Incentive Logic from and against, any actions taken by any user authorized to use your account, including but not limited to accrual of points, redemption of points, and disclosure of passwords to third parties. By utilizing the INCENTIVE LOGIC POINTS PROGRAM you release Incentive Logic, it's providers, and all affiliates from any and all liability regarding the redemption of points, use of merchandise, or other participation in the Points Program.

Intellectual Property Rights

The content of the Incentive Logic Points Program and the Incentive Logic web site is intended for the personal, noncommercial enjoyment of its users. Incentive Logic retains all right, title and interest (including, without limitation, all patents, copyright trademarks, and other intellectual property rights embodied therein) to the words Incentive Logic, Folio, and any phrase or logo incorporating the above mentioned collective Incentive Logic Intellectual Property. All rights reserved. The user agrees not to display or use any Incentive Logic Intellectual Property. All other trademarks and or copyrights appearing on Incentive Logic pages are the property of their respective owners, and unless otherwise stated, Incentive Logic and the respective owners of said intellectual property are not affiliated. Except as expressly authorized by Incentive Logic, you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from such materials or content. Use of the content or materials for any purpose not expressly permitted in these Incentive Logic Points Program Guidelines is prohibited.

Choice of Law and Forum

These Terms of use shall be governed by and construed in accordance with the laws of the state of Arizona, excluding its conflicts of law rules. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Terms of Use or your use of this site shall be filed only in the state or federal courts located in the state of Arizona, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.
